Terms and Conditions
1. About the programme
The CyberSmart360 Partner Programme allows managed service providers, IT consultants, accountants and other trusted advisers to refer their clients to CyberSmart360 and receive a commission on subscriptions that result.
The programme is operated by Micro SaaS Solutions Pty Ltd (ABN 41 700 398 045) trading as CyberSmart360, referred to in these terms as “we”, “us” or “CyberSmart360”. A person or business approved to participate is referred to as “the Partner”.
Participation in the programme is free. There is no joining fee, no subscription and no minimum referral requirement.
2. Eligibility and application
Participation is by application and approval. Submitting an application does not create a partnership, and we may decline any application at our discretion.
- The Partner must be a business carrying on an enterprise in Australia.
- The Partner must hold and quote a valid Australian Business Number.
- The Partner must accept these terms as part of their application.
- We may verify a quoted ABN against the Australian Business Register at any time.
On approval, the Partner is issued a unique partner code. That code is the sole means by which referrals are attributed.
Approval does not make the Partner an employee, agent, joint venturer or representative of CyberSmart360. The Partner has no authority to make representations, give warranties, or enter into commitments on our behalf.
3. Commission structure
Commission is a flat dollar amount, set by the plan the referred client subscribes to. Commission rates are not a percentage of the subscription price and do not change if our pricing changes.

All client prices shown are inclusive of GST. Commission amounts are the amount payable to the Partner and are not adjusted by the client’s plan, discounts, or any promotional pricing applied at checkout.
The Founding Member rate is available to new subscriptions commencing before 1 November 2026 and is locked for the life of that subscription. Subscriptions commencing on or after 1 November 2026 are Standard plans.
4. Referral attribution
A referral is attributed to a Partner where the Partner’s code is recorded against the client’s subscription or organisation record at the time the client signs up or subscribes.
- For monthly subscriptions, the client enters the Partner’s code at checkout.
- For annual subscriptions, and where a client has not entered a code at checkout, the code may instead be recorded on the CyberSmart360 registration form.
Where no partner code is recorded against a client, no commission is payable. We are not able to attribute a referral retrospectively on the basis of a verbal or emailed claim alone, and clients cannot be reassigned between Partners.
Where two Partners claim the same client, the code recorded against the client’s record at sign-up prevails.
5. Conditions
Commission is payable only on payments that have successfully settled. It is not payable on invoices raised, payments authorised but not captured, or payments that subsequently fail.
The twelve-payment maximum on Standard monthly subscriptions applies once per referred subscription. It does not restart if a subscription is cancelled and subsequently reinstated, or if the client moves between plans.
Commission is reversed in full where a referred subscription is refunded or charged back within 30 days of the qualifying payment. Where commission has already been paid, the reversed amount is deducted from the Partner’s next payout.
Partners may not claim commission on subscriptions taken out by their own organisation, by a related entity, or by any business in which the Partner or a principal of the Partner holds an interest.
Partners must not bid on CyberSmart360 brand terms in paid search, register domain names containing our name or a close variation of it, or represent themselves as CyberSmart360.
Partners must not make claims about CyberSmart360, the Essential Eight, or any security framework that are inaccurate, misleading, or that state or imply that compliance is legally mandatory for private businesses where it is not.
6. Payment
Payouts are made monthly. Commission that has met its payment trigger during a month is included in the following month’s payout run.
A minimum balance of $100 must be reached before a payout is made. Balances below $100 carry forward to the next month and accumulate until the threshold is met.
Payment is made by electronic funds transfer to the Australian bank account nominated by the Partner. Partners are responsible for keeping their payment details current; we are not liable for payments made to superseded account details supplied by the Partner.
A statement accompanies each payout, showing the referred subscriptions, the qualifying payments, commission accrued, any reversals, and the balance carried forward.
7. Australian Business Number and withholding

Partners must provide a valid Australian Business Number at registration. Commission is not payable to a Partner who has not quoted an ABN.
Where a payment is made to a Partner who has not quoted an ABN, and that payment exceeds $75 excluding GST, Micro SaaS Solutions Pty Ltd is required under the Taxation Administration Act to withhold from that payment at the top rate of tax prescribed by the Australian Taxation Office, and to remit the withheld amount to the ATO. The withheld amount will be reported to the Partner.
Partners are responsible for notifying us of any change to their ABN or GST registration status.
We may verify a quoted ABN against the Australian Business Register at any time, and may suspend commission payments where an ABN cannot be verified as active.
8. Recipient Created Tax Invoices

The Partner agrees that Micro SaaS Solutions Pty Ltd may issue Recipient Created Tax Invoices in respect of commission payable under these terms, and that the Partner will not issue tax invoices for those supplies.
The Partner warrants that they are registered for GST, and will notify us immediately if they cease to be. Micro SaaS Solutions Pty Ltd warrants that it is registered for GST and will notify the Partner if it ceases to be.
Each Recipient Created Tax Invoice will be issued within 28 days of the commission being determined. This arrangement terminates if either party ceases to be registered for GST.
9. Dormancy and offboarding
Where a Partner has made no referrals for twelve consecutive months, we will contact the Partner by telephone to confirm whether they intend to continue in the programme, and will confirm the outcome of that conversation by email.
Where a Partner confirms they wish to continue, the twelve-month period restarts. Where a Partner does not wish to continue, or cannot be contacted, their partner code is closed to new referrals.
Offboarding does not affect commission already accruing on subscriptions the Partner has previously referred. Those subscriptions continue to accrue and pay commission under these terms, including the balance of any twelve-payment entitlement.
10. Changes to the programme
We may vary commission rates and these terms by giving 30 days’ notice to Partners at the email address held for them.
Variations do not affect commission already accrued, and do not affect the commission rate applying to subscriptions already referred. A subscription referred under one rate continues at that rate for whatever entitlement that plan carries — a single payment for Founding Member plans and for Standard annual, and up to twelve payments for Standard monthly.
11. Termination
Either party may end the Partner’s participation at any time by written notice. We may suspend or end participation immediately, and withhold unpaid commission, where a Partner breaches clause 5.
On termination other than for breach, commission already accrued remains payable in the next payout run in which the minimum balance is met, and commission continues to accrue on previously referred subscriptions as set out in clause 9.
12. Confidentiality and privacy
Partners may receive information about referred clients in the course of the programme. Partners must handle that information in accordance with the Privacy Act 1988 (Cth) and must not use it for any purpose other than the programme.
We handle Partner information in accordance with the CyberSmart360 Privacy Policy.
13. Liability
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.
Subject to the above, our total liability to a Partner in connection with the programme is limited to the total commission paid or payable to that Partner in the twelve months preceding the event giving rise to the liability.
14. Governing law
These terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that State.
